THESE TERMS AND CONDITIONS ("Terms") govern participation in the FRANKIE4 Refer a Friend Program ("Program") on us.frankie4.com. By participating, you agree to be bound by these Terms as well as FRANKIE4’s general Terms of Service and Privacy Policy.

1. Program Overview

1.1. The Program is is open to residents of the United States, aged 18 or older at the time of participation.

1.2. Under the Program, any customers (“Referrers”) can share a unique referral link (via our referral platform) to invite new customers (“Recipients”) to shop at us.frankie4.com.

1.3. The Program consists of two promotional periods:

• Launch Offer: From 5:00PM Monday 28 July 2025 (PDT) to 11:59PM Sunday 3 August 2025 (PDT), Recipients will receive a 25% Discount which can be redeemed on their first eligible purchase, and Referrers will receive a $20 Discount following a Successful Referral (as defined in Section 3.2). There will be a 48-hour Honour Period for Recipients to claim the 25% Discount (as defined in Section 5).
• Ongoing Offer: From 12:00AM Monday 4 August 2025 (PDT) until otherwise amended, Recipients will receive a 15% Discount which can be redeemed on their first eligible purchase, and Referrers will receive a $20 Discount following a Successful Referral (as defined in Section 3.2).

2. Eligibility

2.1 The Program is available only to individuals who:

• Are U.S. residents; and
• Are 18 years or older at participation.

2.2 The Program is not open to residents outside the U.S. A separate referral program is available for customers shopping via the Australian store (frankie4.com).

2.3 FRANKIE4 may verify eligibility and disqualify individuals who do not meet these criteria or who violate these Terms.

2.4. Referrers can be a new customer or existing FRANKIE4 customer.

2.5. Recipients must be new customers with no previous purchase history with FRANKIE4.

2.6. Referrals must be made using the official referral system located here, hosted by Okendo and authorised by FRANKIE4. Manual referrals or those conducted outside the designated system are ineligible.

3. Referral Rewards and Redemption

3.1. Recipient Rewards

a) Recipients who are referred during the Launch Period will receive a 25% Discount Code, valid for one use on full-priced footwear only (excludes Isla and Limited Edition collection). This Discount must be claimed and redeemed by 11:59PM Sunday 3 August 2025 (PDT), or within 48 hours of generation if the referral link is accessed during the honour period (see Section 5).

b) Recipients referred after the Launch Period will receive a 15% Discount Code, valid for one use on full-priced footwear only (excludes Isla and Limited Edition collection). This Discount will be valid for 30 days from the date of generation.

c) Discounts are non-transferable, cannot be redeemed for cash, and may not be combined with other offers, promotions, bundles, or discounts unless otherwise stated.

d) Discounts are valid for one use only.

e) Discounts are valid for new customers only, and cannot be redeemed by customers who have placed an order with FRANKIE4 before.

f) Discounts are valid in-store at FRANKIE4 Bellevue Square Concept Store or online at us.frankie4.com.

g) Discounts are valid towards full-priced footwear only (excludes Isla and Limited Edition) and cannot be redeemed towards shoelaces, socks, or gift-cards.

3.2. Referrer Rewards

a) Referrers will receive a $20 Discount only upon completion of a Successful Referral, defined as:

• The Recipient clicks the Referrer’s unique referral link; and
• The Recipient completes a purchase that is attributed to the referral link; and
• FRANKIE4 is able to verify and attribute the referral through its tracking systems.

b) The Discount code will be issued via email and will be valid for 90 days from the date of issue.

c) Discount codes are non-transferable and cannot be redeemed for cash.

d) Discount codes may be used in conjunction with the Professionals Privilege Offer (refer to separate Terms and Conditions for that program), but may not be used in conjunction with any other offer, promotion, or discount.

e) Discount codes are valid for one use only.

f) Discount codes are valid in-store at FRANKIE4 Bellevue Square Concept Store or online at us.frankie4.com.

g) Discount codes are valid towards full-priced footwear only (excludes Isla and Limited Edition) and cannot be redeemed towards shoelaces, socks, or gift-cards.

4. Tracking and Attribution

4.1. FRANKIE4 uses cookies and similar technologies to track referral activity. FRANKIE4 is not liable for untracked referrals due to technical limitations including, but not limited to, cookie blockers, browser settings, or incorrect usage of referral links.

4.2. Referrals must be made by the Referrer directly to the Recipient; use of referral links on coupon sites, deal aggregators, or paid media is strictly prohibited and may result in forfeiture of rewards.

5. Launch Offer Honour Period

5.1. Referral links shared before 11:59PM on Sunday 3 August 2025 (PDT) will remain eligible for the 25% discount if the Recipient:

• Accesses the referral link within 48-hours of the referral link being generated; and
• Redeems the generated discount code within 24 hours of its creation.

5.2. Referrals that do not meet both of the above conditions will automatically default to the ongoing 15% discount structure.

6. Emails & Consent

6.1 By submitting a referral through the FRANKIE4 Refer a Friend Program, Referrers confirm that they have obtained the consent of the Recipient (the referred friend) to provide their contact details to FRANKIE4 for the sole purpose of sending a one-time referral invitation.

6.2 FRANKIE4 will send a single email to the Recipient, informing them of the referral and the available offer. Where provided, the Referrer’s name will be included to identify the origin of the referral. The email will also include a link for the Recipient to access and redeem the referral offer. This one-time message is transactional in nature, and does not add the Recipient to marketing communications unless they actively opt in.

6.3 The Recipient’s contact information will not be used by FRANKIE4 beyond the delivery of the referral invitation, unless the Recipient independently chooses to engage with FRANKIE4 (for example, by clicking the offer link, creating an account, or subscribing to marketing communications).

6.4 Referral communications will comply with the CAN-SPAM Act of 2003. All referral emails will clearly identify FRANKIE4 as the sender, include the physical mailing address of our U.S. office, and contain a working unsubscribe mechanism.

6.5 If a referral is rejected (e.g. Recipient already a customer), FRANKIE4 may send a notification email solely to advise that the referral offer is unavailable. This message does not constitute marketing unless the Recipient opts in. This one-time message is transactional in nature, and does not add the Recipient to marketing communications unless they actively opt in.

6.6 If a Recipient requests or engages for their discount code (e.g. clicks link or signs up), FRANKIE4 may send a follow-up email containing the code. This communication is transactional, not marketing, and does not subscribe them to future marketing unless separate consent is provided.

6.7 FTC Endorsement Guidelines apply: any material connection (i.e. Referrer’s reward incentive) must be disclosed clearly to ensure transparent referrals.

7. Abuse and Fraud Prevention

7.1. FRANKIE4 reserves the right to disqualify any referrals or withhold rewards if, in its sole discretion, it determines that fraud, tampering, self-referrals, misuse, or other forms of manipulation have occurred.

7.2. Suspected or confirmed abuse of the Program may result in immediate termination of participation and the invalidation of all pending or previously issued rewards.

8. General Terms

8.1. FRANKIE4 reserves the right to modify, suspend, or terminate the Program, or these Terms, at any time and for any reason without prior notice.

8.2. Any changes will be effective immediately upon posting of revised Terms on the FRANKIE4 website. Continued participation in the Program after any such changes shall constitute your consent to such changes.

8.3. These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles. Any disputes arising under or in connection with the Program shall be subject to the exclusive jurisdiction of the state or federal courts located in King County, Washington.

FRANKIE4 is committed to respecting your privacy and ensuring that all marketing and referral activities comply with relevant legislation, including the Federal Trade Commission Act, CAN-SPAM Act, and state consumer privacy laws.

All online entries must be received by 11:59PM Wednesday 25 February 2026. All times are (GMT-08:00) Pacific Standard Time (US & Canada).

4. How to Enter: The Giveaway must be entered by joining FRANKIE4's CHAPTER4 Facebook Group. The entry must fulfil all Giveaway requirements, as specified, to be eligible to win a prize. Entries that are not complete or do not adhere to the rules or specifications may be disqualified at the sole discretion of FRANKIE4. 7. Winner selection and notification: The Winner of the Giveaway will be selected in a random drawing under the supervision of the Sponsors. The Winner will be notified via the FRANKIE4 CHAPTER4 Facebook Group to the profile they entered the Giveaway with within five (5) days following the winner selection. FRANKIE4 shall have no liability for a winner's failure to receive notices due to winners' notification or other security settings or for winners' provision of incorrect or otherwise non-functioning contact information. If the selected winner cannot be contacted, is ineligible, fails to claim the prize within 15 days from the time award notification was sent, or fails to timely return a completed and executed declaration and releases as required, prize may be forfeited and an alternate winner selected.
